Can a non-US resident form a US LLC?+
Yes. You do not need to be a US citizen, hold a green card, or live in the United States to own a US LLC. Non-residents can form an LLC in any state, get an EIN from the IRS, and open a US business bank account remotely. Owning an LLC does not grant US immigration rights.
Do I need a US address or SSN to start?+
No. We provide a registered agent address in your state of formation, and we obtain the EIN from the IRS without an SSN or ITIN using Form SS-4 with a responsible party designation. You only need a valid passport, an email, and a phone number to begin.
Which state should I choose — Wyoming, Delaware, or New Mexico?+
Wyoming is the most popular choice for non-residents: strong privacy, no state income tax, and simple annual reporting. Delaware is preferred if you plan to raise venture capital or issue stock. New Mexico has no annual report requirement. If you have no US footprint, Wyoming is the default recommendation.
How long does formation take?+
Most state filings are approved within 1–5 business days. EIN issuance for non-residents typically takes 4–6 weeks by fax to the IRS. Bank account opening with Mercury, Relay, or Wise usually takes another 3–10 business days after the EIN is issued.
Will I owe US taxes on my LLC?+
A single-member LLC owned by a non-resident with no US trade or business (ETBUS) and no US-source income generally owes no US federal income tax, but must file Form 5472 and a pro-forma 1120 annually. Penalties for missing 5472 start at $25,000. We strongly recommend a US CPA for your first filing.
Can I open a US business bank account remotely?+
Yes. Mercury, Relay, and Wise Business all accept non-resident-owned US LLCs without requiring a US visit. You will need your EIN letter (CP 575 or 147C), Articles of Organization, operating agreement, and passport. Traditional banks (Chase, BoA) typically require an in-person visit.
What is an EIN and do I need one?+
An EIN (Employer Identification Number) is the IRS tax ID for your business — the company equivalent of an SSN. You need it to open a bank account, hire contractors, file taxes, and apply for Stripe, PayPal, or merchant accounts. Every US LLC should have one.
What is a registered agent and why do I need one?+
A registered agent is a person or company with a physical address in your state of formation who receives legal mail (service of process) and state correspondence on your behalf. Every US LLC is legally required to have one. We include this in your setup.
Can I use my LLC for Stripe, PayPal, or Shopify Payments?+
Yes. A US LLC with an EIN and US business bank account satisfies the requirements for Stripe, PayPal Business, Shopify Payments, and most major payment processors — even when you and your customers are outside the US.
