1. What an anonymous LLC actually is

An anonymous LLC is a normal LLC formed in a state that does not require the names of members or managers in its public filings. The public record shows the company name and its registered agent, not you.

It is public-record privacy, not secrecy. Your bank, payment processors and the IRS still know exactly who owns the company, and the structure must never be used to hide ownership from them.

2. Which states allow anonymous LLCs

Wyoming: no member or manager names in the articles of organization or annual report. Low annual cost (annual report fee from $60), no state income tax, and long-standing LLC case law. The usual first choice for non-US founders.

Delaware: owner names are not required in the certificate of formation. Strong court system, but a flat $300 annual LLC tax. Better suited to businesses planning US venture funding.

New Mexico: no annual report at all, so there is no recurring filing that lists people. Fewer banks and partners are familiar with it.

Nevada: often marketed as private, but manager or member names appear in state filings, so it is not truly anonymous.

3. Wyoming vs Delaware for a private LLC

For a non-resident running an online, trading or holding business, Wyoming usually wins on cost and simplicity with the same public privacy. Delaware makes sense when investors or a later conversion to a Delaware corporation are on the roadmap.

Either way, the registered agent address replaces your home address on the public record, and mail is forwarded to you.

4. Who still sees the owners

Banks and EMIs: every account opening requires passports, proof of address and an ownership chart down to the real people. Concealing an owner is a reason to decline or close an account.

IRS: the EIN application names a responsible party, and foreign-owned single-member LLCs file Form 5472 each year disclosing the foreign owner.

FinCEN: in 2025 FinCEN's interim rule removed beneficial ownership (BOI) reporting for companies formed in the United States. Rules in this area change, so we check the current position when we form your company.
