BVI Professional & Nominee Director Services

BVI professional director arrangements for genuine governance. Review appointment scope, ownership disclosures and activity-specific substance requirements.

The legal starting point

Ordinary BVI business companies do not have a blanket BVI-resident director requirement. Professional appointments may serve governance needs; regulated activities and economic substance must be assessed separately.

BVI professional and nominee director services are available in the corporate-services market, but that does not make a local director mandatory for every company. The right starting point is the entity’s purpose and the responsibilities that need to be performed. We explore board-support arrangements after reviewing the company profile, without positioning nominees as a way to hide the owners or manufacture substance.

When a BVI professional director may be appropriate

A holding company, investment vehicle or operating group may need board experience, conflict handling, continuity or oversight of significant transactions. A regulated entity may also face additional governance conditions. These reasons should be documented rather than treated as a generic local-residency rule.

Provision of directors or officers for reward in or from the BVI falls within the FSC’s company-management framework. The provider should establish the applicable licensing position and whether it can support your particular entity and activity. No provider licence or appointment availability is assumed from this page.

Substance follows the activity, not the title

BVI economic-substance requirements depend on relevant activities, entity status and any qualifying non-resident position. Where the rules apply, direction and management, core income-generating activity and adequate resources must be considered. A professional director appointment alone does not satisfy the full test.

Pure equity holding entities have a distinct, reduced regime. That should not be extended to a business that also carries out financing, headquarters or other activities. Confirm classification and reporting with the registered agent and local specialists before deciding what board support is needed.

Authority, ownership and records

The appointment documents should set out access to records, board decisions, signing authority, conflicts, reporting, indemnity and resignation procedures. A director cannot be presented as a person who signs automatically or has no responsibility for the company.

Applicable beneficial-ownership identification and Registry filing obligations remain. The Registry regime introduced in 2025 and revised FSC guidance make claims of anonymous ownership inappropriate. Any applicable exemption or access restriction must be confirmed on its own terms, not assumed because a nominee is appointed.

Banking and digital-asset companies

A bank assesses the owners, controllers, business model, counterparties and source of funds. A professional board member does not replace that assessment or guarantee acceptance of an offshore entity. Keep bank signing arrangements consistent with the actual authority of the director.

For token, digital-asset or investment activity, explain whether the company trades its own assets, provides services to others or holds customer money. Licensing and financial-services requirements need a separate assessment. The initial enquiry can identify these questions but does not provide a legal determination.

What to prepare for the review

  • BVI entity type, registered agent and incorporation status
  • Relevant activities and existing substance classification
  • Owners, controllers, their residence and the full group structure
  • Reason for board support, transaction scope and signing authority
  • Regulatory status, banking needs and desired appointment timeline

BVI director questions

Is a BVI-resident director compulsory?
Not as a blanket rule for ordinary BVI business companies. Sector-specific licensing and activity-dependent economic-substance rules can create additional requirements and need separate review.
Can a nominee director conceal the owner?
No. Required beneficial-ownership identification, filings and professional or bank due diligence remain. We do not support arrangements intended to mislead authorities or institutions.
Does a BVI director satisfy economic substance?
Not by itself. The applicable test depends on activities and status, and may include management, local activity and adequate resources. Pure equity holding entities have a different regime.
Can you quote a guaranteed appointment or account?
No guaranteed appointment or account is offered here. The local professional must accept the case and confirm the terms. Any bank application is assessed independently.
