Local residency is not the same as professional governance

Singapore, Australia and Malaysia have resident-director requirements that depend on company type. Ireland generally requires an EEA-resident director, with statutory alternatives. UK private limited companies, ordinary BVI business companies and Cayman exempted companies do not have a blanket local-director requirement. Regulated activities and economic substance need a separate assessment.

Choose your jurisdiction

Singapore

Singapore companies must have at least one director ordinarily resident in Singapore. A professional nominee appointment is not an exemption from directors’ duties or disclosure obligations.

Singapore Resident & Nominee Director Services

Australia

A standard Australian proprietary company needs at least one director ordinarily resident in Australia. Public companies need at least three directors, with at least two resident; crowd-funded proprietary companies have additional requirements.

Australian Resident & Nominee Director Services

Ireland

Irish companies generally require at least one EEA-resident director, not necessarily an Irish-resident director. A prescribed €25,000 bond or a Section 140 certificate can provide a statutory alternative where its conditions are met.

Irish Company EEA Resident Director Services

BVI

Ordinary BVI business companies do not have a blanket BVI-resident director requirement. Professional appointments may serve governance needs; regulated activities and economic substance must be assessed separately.

BVI Professional & Nominee Director Services

Cayman Islands

Ordinary Cayman exempted companies do not have a blanket Cayman-resident director requirement. CIMA director registration or licensing applies to defined covered entities, not every Cayman company, and is not a residency rule.

Cayman Islands Professional & Independent Director Services

Malaysia

Under section 196 of the Companies Act 2016, a Malaysian private company needs at least one director ordinarily resident in Malaysia with a principal place of residence there. A public company needs at least two qualifying resident directors. An alternate or substitute does not count toward this minimum.

Malaysia Resident & Nominee Director Services

United Kingdom

A UK private limited company’s directors do not have to live in the UK. A UK registered office is a separate company requirement. A professional or nominee appointment must serve a genuine purpose and does not remove director duties, PSC reporting or applicable identity verification.

UK Professional & Nominee Director Services

A director appointment means real responsibility

A professional director is not a signature service. The person must understand the business, exercise independent judgment and meet applicable duties. An appointment agreement cannot remove statutory responsibility or permit unlawful instructions.

How we support the enquiry

We review your entity, ownership, activity and reason for the appointment, then explore suitable professional arrangements. Before proceeding, the local provider must confirm eligibility, duties, scope, fees, insurance position and any licensing requirements in writing. A first consultation is free; paid coordination and provider work are agreed separately.

Ownership stays transparent

Nominee or professional arrangements do not remove beneficial ownership reporting, bank checks or tax obligations. We do not support concealed ownership, misleading residency claims, sham management or attempts to bypass licensing. A resident director alone does not establish tax residence, satisfy every substance test or guarantee an account.
