Malaysia Resident & Nominee Director Services

Need a resident director for a Malaysian company? Review Sdn Bhd requirements, nominee duties, ownership reporting and appointment terms with Xavion.

The legal starting point

Under section 196 of the Companies Act 2016, a Malaysian private company needs at least one director ordinarily resident in Malaysia with a principal place of residence there. A public company needs at least two qualifying resident directors. An alternate or substitute does not count toward this minimum.

A foreign founder setting up a Sdn Bhd may need a professional resident director if none of the proposed directors meets the Malaysian residence test. The requirement concerns actual residence, not Malaysian nationality or simply using a local address. We review the company and appointment purpose before exploring a suitable arrangement. Local professional acceptance and terms must be confirmed before an appointment is offered.

Who can meet the Malaysian residence requirement?

The statutory minimum is one director for a private company and two for a public company. Those minimum directors must ordinarily reside in Malaysia by having a principal place of residence there. Section 196 also requires a director to be a natural person aged at least 18, and other eligibility and disqualification rules remain relevant.

A foreign national may qualify if the residence and other eligibility conditions are met. Conversely, citizenship or a Malaysian correspondence address does not by itself establish ordinary residence. Confirm your proposed directors’ circumstances with a local professional before buying a nominee arrangement you may not need.

A nominee director must act for the company

Section 217 specifically addresses nominee directors. Where the director’s duty to the company conflicts with a duty to the nominator, the company’s interests must not be subordinated to the nominator. Section 213 also requires proper purpose, good faith and reasonable care, skill and diligence.

The appointment should therefore cover access to financial records, oversight, reporting, conflicts and the limits of signing authority. We do not offer a person who will sign automatically, ignore the activity or carry no responsibility. Any indemnity and insurance provisions need local review and cannot be assumed to remove statutory duties.

Ownership reporting remains separate from board representation

The Malaysian beneficial-ownership framework requires companies to identify and report the relevant natural persons who ultimately own or control them. A director appointment does not replace that process or make the underlying ownership anonymous. The applicable reporting and access rules should not be confused with a promise that every ownership detail is publicly searchable.

Provide an accurate ownership chart, the business model and any regulated activities. Director appointment, company-secretarial work and formation are distinct services. The proposed providers should confirm their qualifications and the permissions applicable to each part of the work; this page does not assert that Xavion is a Malaysian licensed corporate-services provider.

Preparing a Sdn Bhd appointment enquiry

Tell us whether the company is new or already trading, which directors currently qualify, and why professional board support is required. A replacement also needs a planned handover of records and coordinated local filings. A resignation must not be assumed effective if it would leave the company below its statutory director minimum.

Fees, deposits, reporting obligations, activity restrictions, insurance and replacement terms are confirmed in a written proposal after review. A resident appointment does not automatically confer a work permit, determine tax residence, authorise regulated activity or guarantee a bank account. Banking and licensing need separate assessments.

What to prepare for the review

  • Sdn Bhd or public-company status and incorporation stage
  • Actual residence and eligibility of existing or proposed directors
  • Ownership chart, controllers and business activity
  • Appointment purpose, records access, authority and oversight expectations
  • Regulated activities, existing providers and proposed handover timing

Malaysia director questions

Does a Malaysian resident director have to be Malaysian?
The Companies Act residence test is not a citizenship requirement. A foreign national may qualify if ordinarily resident with a principal place of residence in Malaysia and otherwise eligible. Local review must confirm the actual circumstances.
Is one resident director enough for every Malaysian company?
No. The statutory minimum is one qualifying director for a private company and two for a public company. Alternates or substitutes do not count toward that minimum.
Can a nominee simply follow the owner’s instructions?
The director retains duties to the company. Section 217 prohibits subordinating the company’s interests to the nominator when duties conflict. The arrangement must allow genuine oversight and lawful independent decisions.
Can you confirm a price or appointment date now?
The initial enquiry review is free. Provider acceptance, fees, any deposit, appointment scope and timing are separately confirmed after due diligence. No immediate appointment or standard insurance coverage is promised.
