The BVI approved manager regime is a lighter licensing route for smaller investment managers and advisers. It sits under the Investment Business (Approved Managers) Regulations, made under the Securities and Investment Business Act, and is supervised by the BVI Financial Services Commission.

It suits emerging fund managers who want a recognised, regulated vehicle without the cost and timeline of a full investment business licence. This page explains who qualifies, what the manager must keep in place, and how banking fits in.

Short answer

What is a BVI approved manager?

An investment manager or adviser approved under the BVI Investment Business (Approved Managers) Regulations, a lighter route than a full licence for managers within defined asset limits.

  • What are the asset limits: Commonly cited limits are 400 million US dollars for open-ended funds and one billion US dollars for closed-ended funds. Confirm current figures with BVI counsel.
  • Does the manager need people in the BVI: It needs an authorised representative in the BVI and must meet economic substance rules for fund management, which depend on where activity and decisions take place.
  • Is it suitable for crypto funds: It can be, depending on the strategy and investors, but banking and custody need extra preparation. We review that as part of the free consultation.

Who the regime is for

An approved manager may manage or advise funds and certain other clients within defined limits. The commonly cited thresholds are assets under management of up to 400 million US dollars for open-ended funds, or up to one billion US dollars of capital commitments for closed-ended funds. Managers who expect to exceed these limits, or who want to carry out activities outside the regime, need a full licence instead. Confirm the current limits and permitted activities with BVI counsel before relying on them.

What the application involves

The application goes to the Financial Services Commission through a licensed BVI service provider. It typically covers the manager company, its directors and owners, fit and proper information, a description of the funds or clients, and the persons responsible for compliance and AML. The manager needs at least two directors, one of whom is usually an individual, and an authorised representative in the BVI.

Ongoing obligations

An approved manager must keep proper records, maintain AML and counter-terrorist financing procedures, appoint relevant officers, file annual returns and financial statements, and notify the Commission of material changes. The regime is lighter than a full licence, but it is still regulation. Managers that treat it as a registration only tend to fall behind on filings.

Economic substance and banking

Fund management is a relevant activity under the BVI economic substance rules, so the manager must show adequate activity, people and decision making for its income. Banks reviewing an approved manager will ask about the investors, the strategy, where the team sits and the source of seed capital. Preparing that file at the same time as the application avoids months of delay after approval.

Approved manager or full licence

A full investment business licence gives wider permissions and no asset ceiling, but it takes longer, costs more and carries heavier capital and reporting duties. The approved manager route suits a manager launching its first one or two funds with a defined investor base. Many managers start as approved managers and move to a full licence once assets grow. Planning that path early helps, because investors, administrators and banks will ask what happens when the fund outgrows the regime.

Common mistakes to avoid

The most frequent problems are launching marketing before approval, missing annual filings, appointing directors who have little real involvement, and opening fund bank accounts before the manager's own file is complete. Another is assuming that a BVI approval allows marketing to investors anywhere. Marketing rules in each investor's country still apply, so check them with counsel in the relevant markets.
