Marshall Islands DAO LLCs: a legal wrapper for on-chain governance

How a Marshall Islands DAO LLC gives a decentralised organisation legal personality and limited liability, what KYC and filings apply, and how to bank it.

A DAO that operates without a legal entity can leave its members exposed as if they were partners in a general partnership. The Republic of the Marshall Islands addressed this with its Decentralized Autonomous Organization Act 2022, which lets a DAO register as a limited liability company whose governance can be written into smart contracts.

This page covers what a Marshall Islands DAO LLC is, what it requires, and how banking works in practice.

Short answer

Is a Marshall Islands DAO LLC anonymous?

No. Members above the governance threshold and managing persons must complete KYC with the registered agent.

  • Can a DAO LLC open a bank account: Yes, usually with crypto-friendly EMIs or specialist banks, once signatories, source of funds and treasury flows are documented.
  • Does a DAO LLC remove members' personal tax obligations: No. Members remain subject to tax rules where they are resident.
  • Does Xavion form the DAO LLC: No. We review the case and coordinate with licensed registered agents and counsel, then help with the banking file.

What the structure is

A Marshall Islands DAO LLC is a limited liability company formed under the Limited Liability Company Act and the DAO Act. Its operating agreement can refer to on-chain governance, and it can be set up as a for-profit or non-profit entity. The aim is legal personality for contracting, limited liability for members, and a clear party to hold assets and sign agreements.

Ownership disclosure and KYC

The structure does not create anonymity. Registration requires disclosure and KYC of members holding governance rights above the statutory threshold, and of managing persons, and the registered agent keeps that information. Treat any provider that promises anonymous ownership as a red flag.

Formation through licensed providers

Formation is handled through the Marshall Islands registered agent framework, often with a specialist DAO formation provider and counsel who draft the operating agreement. Expect to provide the smart contract addresses, governance model, token rights and member information. Xavion does not form the entity or give legal sign-off; we coordinate with licensed providers.

Tax and reporting

Non-profit DAO LLCs and for-profit DAO LLCs are treated differently under Marshall Islands law, and members remain subject to tax in the countries where they live. Members and contributors should take tax advice in their own jurisdictions before distributions or token allocations.

Banking a DAO LLC

Banks and EMIs assess a DAO LLC like any crypto business: who controls it, where funds come from, how the treasury moves, and which counterparties it pays. A clear operating agreement, identified signatories, wallet addresses with transaction history and a source of funds narrative make onboarding realistic. Crypto-friendly EMIs and some specialist banks are the usual starting points.

What to prepare before formation

Have a short description of the protocol, the smart contract addresses that will govern the entity, the token's role in governance, a list of members or contributors expected to cross the disclosure threshold, intended managing persons, and the countries where the main activity will happen. Counsel will use this to decide between a for-profit and non-profit DAO LLC and to draft an operating agreement that matches how decisions are actually made on chain.

Ongoing obligations

A DAO LLC keeps a registered agent, maintains member information, files annual reports and pays annual fees. Changes to governance contracts or to members above the threshold should be reflected in records. Banks also expect updated KYC when signatories or control change, so plan governance changes with banking in mind.

Marshall Islands, Wyoming or Cayman

Wyoming offers a US DAO LLC with US tax consequences. Cayman foundation companies are often used by larger protocols wanting an ownerless structure with directors and a supervisor. The Marshall Islands sits between them, with a DAO-specific statute and lower running costs. The right choice depends on members, token model and banking needs.
